Terms of sale and use

These terms govern the sale and use of the Raisonance software. Raisonance is sold to audiology professionals and clinics (business customers).
Scope
These terms apply between ASTRONE (“we”, “Raisonance”) and the professional or clinic purchasing a license (“you”, the “Customer”). They are intended for business customers acting for purposes relating to their professional activity.
License
We grant you a non-exclusive, non-transferable license to install and use Raisonance on the number of workstations covered by your subscription, for the duration of that subscription.
You may not resell, sublicense, rent, reverse-engineer, or attempt to extract the source code or models of the software, except to the extent such restriction is prohibited by law.
Professional use and clinical responsibility
Raisonance is a documentation and workflow assistant. It does not provide medical advice and is not a substitute for professional judgement. The audiologist remains solely responsible for all clinical decisions and for the content of any record or report they validate.
AI assistance disclaimer
AI-generated output may be incomplete or incorrect and must be reviewed by the clinician before use. The software is not intended for emergency or urgent decisions.
Your data and your responsibilities
Patient data is stored locally on your devices or synchronised to encrypted storage selected and controlled by you. You are responsible for device security, backups, the selected storage provider, and lawful governance of patient records. ASTRONE does not receive synchronised patient data.
Orders, prices, and payment
Prices are stated on the website before purchase. Subscriptions are billed through our payment processor (Stripe). Unless stated otherwise, a license is sold as an annual subscription and renews automatically.
Term, renewal, and cancellation
The subscription runs for the period selected at purchase and renews for equal periods unless cancelled before the renewal date through your account. Cancellation stops future renewals; it does not retroactively refund the current period unless required by law.
No right of withdrawal (professional customers)
As Raisonance is sold to professionals for purposes relating to their activity, the 14-day right of withdrawal applicable to consumers does not apply. Refund situations, if any, are described in the Refund and cancellation policy.
As a commercial courtesy, new subscriptions include a 14-day free trial before the first charge. This trial is offered at our discretion and does not constitute, and does not affect, the absence of a statutory right of withdrawal described above.
Updates and support
Your subscription includes authenticated software and security updates and the support described on the website. Updates may modify or remove features for security or maintenance reasons.
Availability and warranties
We make reasonable efforts to keep the website and license server available, but do not guarantee uninterrupted availability. The software is provided without any warranty beyond those that cannot be excluded by law.
Liability
To the extent permitted by law, our liability is limited to direct damages and does not extend to indirect or consequential loss, loss of data, or loss of profit. Nothing in these terms excludes liability that cannot be excluded under applicable law.

Governing law and jurisdiction
These terms are governed by French law. Any dispute relating to their formation, interpretation, or performance falls under the jurisdiction of the competent courts of Lyon, unless a mandatory rule provides otherwise.
